Holding back a substantial portion of the purchase price until acceptance is a very powerful lever for the hospital to ensure that BHS makes a timely and successful implementation a priority. However, by permitting UCC acceptance to occur earlier, the Hospital will likely be required to rely on a breach of warranty claim in the event that problems arise that are not resolved by BHS. There is a much tougher standard for the hospital to meet in order to revoke its acceptance compared to simply rejecting the goods prior to acceptance.
