Making the provision mutual sounds fair, but keep in mind that it may cause problems in the future should BHS be acquired or sell off this line of business. In such a situation, the hospital would have a great deal of leverage by the ability to say "no." If you are going to make the provision mutual, you should also consider other changes, such as prohibiting the unreasonable refusal of consent, or expressly permitting the assignment to a successor by merger, etc.
